Terms governing use of the GNK Labs website and general conditions for engaging our services.

These Terms & Conditions (“Terms”) govern your access to the GNK Labs website located at our primary domain and related online properties (collectively, the “Site”), and they describe general legal terms that apply unless superseded by a signed agreement between you and GNK-Labs LLC (“GNK Labs,” “we,” “us,” or “our”).

Agreement to terms

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization.

Services and statements of work

Any GNK Labs services are provided pursuant to a separate proposal, statement of work, order form, or other written agreement executed by both parties (“SOW”). If there is a conflict between these Terms and a SOW, the SOW controls for that engagement.

Intellectual property

Unless otherwise agreed in writing, GNK Labs retains all rights, title, and interest in and to the Site, our methodologies, pre-existing tools, templates, and proprietary frameworks. Deliverables and ownership/licensing terms for client engagements are defined in the applicable SOW.

Acceptable use

You agree not to:

  • Use the Site in any way that violates applicable law or regulation.
  • Attempt to gain unauthorized access to our systems, accounts, or data.
  • Interfere with the integrity or performance of the Site (including scraping at a scale that impairs service).
  • Use the Site to distribute malware, spam, or misleading content.

Third-party links

The Site may contain links to third-party websites or services. We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.

Disclaimers

THE SITE AND ANY CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GNK LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Case studies, testimonials, and examples on the Site are illustrative and may not reflect results you will achieve. Past performance is not a guarantee of future outcomes.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GNK LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF NO SUCH PAYMENTS APPLY.

Indemnity

You will defend and indemnify GNK Labs and our directors, officers, employees, and contractors against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any third-party rights.

Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to applicable law, you agree that exclusive jurisdiction and venue for disputes will be in the state or federal courts located in Travis County, Texas.

Changes

We may update these Terms from time to time. We will post the updated Terms on this page and revise the “Last updated” date below. Continued use of the Site after changes means you accept the updated Terms.
